Terms of Service

Effective Date: June 2026  •  Last Updated: July 2026

Welcome to Ask Alix. These Terms of Service (the “Terms”) govern your access to and use of the Ask Alix website, mobile applications, AI financial platform, and related services (collectively, the “Services”) offered by Ask Alix Inc. (“Ask Alix,” “we,” “us,” or “our”).

By creating an account, accessing, and/or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Please read carefully. These Terms contain important information about your rights and obligations, including a binding arbitration clause and class action waiver (Section 16), disclaimers about the nature of our AI-generated financial guidance and other content (Section 6), and authorization language for auto-execution and “accept the strategy” features (Section 7).

Section 01

Eligibility

To use the Services, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction, whichever is greater.
  • Be a resident of the United States.
  • Have the legal capacity to enter into a binding contract.
  • Not be barred from receiving the Services under applicable law.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Section 02

Account Registration and Security

To access most features, you must create an account. You agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your credentials and any connected financial accounts.
  • Notify us immediately of any unauthorized access.
  • Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or engage in activity that threatens the integrity of the Services.

Section 03

Description of the Services

Ask Alix provides an AI-powered financial platform that may include:

  • Personalized financial insights, strategies, and educational content.
  • An interactive AI assistant and live avatar experience.
  • Gamified financial literacy tools.
  • Optional auto-execution features that allow you to accept AI-generated strategies for routing or allocating funds through connected accounts.
  • Integrations with third-party financial data providers and account aggregators.

Features available to you may vary based on your subscription tier, eligibility, connected accounts, third-party provider availability, and regulatory requirements in your jurisdiction. Certain features may be limited, unavailable, or subject to additional agreements, disclosures, consents, authorizations, or onboarding requirements. During any beta, pilot, MVP, preview, test, or limited-release period, some Services or features described in these Terms or in Ask Alix materials may be unavailable, incomplete, simulated, manually reviewed, limited to testing, or subject to additional restrictions. Beta features are provided for testing and evaluation and may be modified, suspended, or discontinued at any time.

Ask Alix does not currently provide investment advisory services, brokerage services, custody services, banking services, insurance services, legal services, tax services, or accounting services. If investment advisory services are made available through the Services in the future, they will be provided only by an affiliate or a third-party provider that is properly registered, licensed, exempt, or otherwise authorized to provide those services, and only under separate advisory agreements and disclosures.

Section 04

Not Financial, Investment, Legal, or Tax Advice

Ask Alix is not a registered investment adviser, broker-dealer, custodian, bank, insurance company, law firm, accounting firm, or tax adviser. The Services are designed to support financial literacy, decision-making, and goal-setting. Unless and until investment advisory services are made available through a properly registered, licensed, exempt, or otherwise authorized investment adviser under a separate advisory agreement, the Services do not constitute:

  • Personalized investment advice or recommendations to buy, sell, hold, exchange, rebalance, allocate, or otherwise transact in any security, investment product, managed account, portfolio strategy, cryptocurrency, commodity, or derivative.
  • Brokerage, custody, trade execution, clearing, settlement, banking, lending, insurance, legal, tax, or accounting, or estate-planning services or advice.
  • An offer, solicitation, recommendation, endorsement, or advice to purchase, sell, hold, or use any security, investment strategy, financial product, loan, insurance product, tax strategy, or legal structure.

Content generated by Ask Alix, including AI-generated strategies, projections, commentary, educational content, and account insights, is provided for informational and educational purposes only unless expressly provided through a separate advisory relationship with a properly authorized investment adviser. You are solely responsible for your financial decisions. Consult a qualified professional before acting on any information provided through the Services. Your use of the Services does not create an investment advisory, brokerage, banking, custody, fiduciary, attorney-client, accountant-client, tax adviser-client, insurance adviser, or other professional relationship with Ask Alix.

Past performance does not guarantee future results. All investing and financial activity involves risk, including possible loss of principal, fees, taxes, penalties, and other consequences.

Section 05

Connected Accounts and Third-Party Data Providers

The Services may allow you to connect bank, credit, investment, payroll, or other financial accounts using third-party aggregators (for example, Plaid). By connecting an account, you:

  • Authorize Ask Alix and its providers to access, retrieve, store, process, analyze, transmit, and display financial data from the connected account for the purposes of providing, maintaining, improving, securing, and supporting the Services.
  • Represent that you are the authorized holder of the connected account or otherwise have legal authority to connect and access the account through the Services.
  • Agree to the terms and privacy policies of the relevant third-party provider.

You are responsible for ensuring that any account you connect may lawfully be connected to the Services and that your connection of the account does not violate any agreement with the relevant financial institution, account owner, employer, plan sponsor, or third-party provider.

You may disconnect a connected account through the Services or as otherwise described in our Privacy Policy. Disconnecting an account may limit or disable certain features and does not necessarily delete information previously collected or generated from the connected account. Ask Alix may retain information as permitted or required by law, applicable privacy notices, security needs, dispute-resolution needs, service-provider requirements, and records-retention policies.

We are not responsible for the accuracy, availability, or security of data provided by third-party institutions or aggregators. If a connection fails or returns incorrect data, the Services may produce inaccurate outputs.

Section 06

AI-Generated Content

Ask Alix uses artificial intelligence, including large language models, to generate content, responses, strategies, and recommendations (“AI Output”). You acknowledge that:

  • AI Output can be incomplete, inaccurate, outdated, or reflect limitations or biases in training data, third-party data, user-provided information, model behavior, and/or system assumptions.
  • AI Output is generated based on the information you provide and may not reflect your complete financial picture.
  • AI Output does not replace professional judgment.
  • You are responsible for reviewing AI Output before relying on or acting upon it.

Ask Alix makes no warranty that AI Output will be accurate, complete, current, suitable for your circumstances, or consistent with your goals, risk tolerance, liquidity needs, investment objectives, tax circumstances, or other financial circumstances. Unless AI Output is expressly provided through a separate advisory relationship with a properly authorized investment adviser, AI Output is provided for informational and educational purposes only and does not constitute investment advice.

Section 07

Auto-Execution and “Accept the Strategy” Features

Certain features allow you to authorize Ask Alix or its payment, banking, brokerage, custody, account-aggregation, or other service providers to initiate, transmit, route, support, or process transfers, allocations, transactions, or other actions based on AI-generated strategies or instructions that you accept (“Auto-Execution Features”). By enabling Auto-Execution Features, you:

  • Expressly authorize Ask Alix and its payment, banking, brokerage, custody, account-aggregation, or other service providers to initiate, transmit, route, support, or process transfers, allocations, transactions, or other actions consistent with the strategy, instruction, or authorization you accept.
  • Acknowledge that each accepted strategy, instruction, transfer, allocation, transaction, or other action is your independent decision unless and until you enter into a separate discretionary advisory agreement with a properly authorized investment adviser, and that you have had the opportunity to review the applicable strategy, instruction, transfer, allocation, transaction, or other action before accepting it.
  • Agree that you remain responsible for reviewing the strategy, account, amount, timing, frequency, fees, risks, tax consequences, restrictions, and other material terms before accepting a strategy, enabling an Auto-Execution feature, or authorizing any action.
  • Agree that you remain responsible for resulting actions, including any fees, taxes, market impact, penalties, insufficient-funds charges, overdrafts, failed payments, late payments, returned payments, account restrictions, investment losses, or other consequences, except to the extent liability cannot be imposed on you under applicable law.
  • Understand that you can disable Auto-Execution Features at any time in your account settings, but that pending, submitted, routed, processing, scheduled, or in-flight transactions may still complete.

Ask Alix does not currently provide discretionary investment management, brokerage, custody, clearing, settlement, banking, or payment-processing services. Securities transactions, discretionary investment allocations, portfolio rebalancing, brokerage execution, custody, clearing, settlement, banking, payment processing, and money movement, if available, are provided only by properly authorized third-party or affiliated providers under separate agreements. Ask Alix does not independently decide whether, when, or how to place securities trades, rebalance portfolios, or move funds unless and until such functionality is provided through a properly authorized provider under a separate agreement.

During beta or limited-release periods, Auto-Execution Features may be unavailable, simulated, manually reviewed, limited to non-binding prompts, or disabled entirely. No account opening, securities transaction, investment allocation, portfolio rebalancing, recurring transfer, payment, or money movement will occur unless the applicable feature is active, you have completed all required agreements and authorizations, and the applicable provider has accepted and processed the instruction.

Before any preauthorized, recurring, or variable electronic fund transfer from a consumer account is initiated, you must provide any written or electronically authenticated authorization required by applicable law, network rules, or provider requirements. Ask Alix or the applicable provider will provide a copy of that authorization or make it available electronically.

Ask Alix and its providers may reject, delay, cancel, reverse, block, or require additional confirmation for any strategy, transfer, allocation, transaction, instruction, or action for compliance, fraud-prevention, sanctions-screening, anti-money-laundering, cybersecurity, account-verification, insufficient-funds, market, provider, operational, regulatory, or risk-control reasons.

Ask Alix is not liable for losses resulting from market conditions, investment performance, tax consequences, provider delays, insufficient funds, rejected transactions, stale or inaccurate third-party data, or actions you authorize, except to the extent caused by Ask Alix and not disclaimable under applicable law.

Section 08

Fees, Subscriptions, and Free Tier

Ask Alix may offer free, freemium, and paid subscription tiers. For paid features:

  • Fees, billing cycles, and renewal terms will be disclosed at the point of purchase.
  • Subscriptions renew automatically until canceled.
  • You can cancel at any time. Cancellation takes effect at the end of the current billing period.
  • Except where required by law, fees are non-refundable.

We may change pricing with reasonable notice. Continued use of paid features after a price change constitutes acceptance.

For any automatically renewing paid subscription, we will disclose the renewal terms, billing frequency, price, cancellation method, and any free-trial or promotional terms before you subscribe. By purchasing a paid subscription, you authorize Ask Alix and its payment processors to charge your payment method on a recurring basis until you cancel. You may cancel through your account settings or by any other cancellation method we make available. We will provide notices of material changes to subscription terms, including price changes, where required by law.

Section 09

User Conduct

You agree not to:

  • Use the Services for any unlawful purpose or to violate any applicable law or regulation.
  • Attempt to reverse engineer, decompile, scrape, or extract source code or training data from the Services.
  • Use the Services to create a competing product, model, or dataset.
  • Upload malicious code, conduct security testing without written permission, or interfere with service integrity.
  • Impersonate another person or misrepresent your affiliation.
  • Use the Services to harass, defraud, or harm others.
  • Bypass any access controls, rate limits, or subscription gates.

Section 10

User Content

You may submit information, messages, preferences, goals, and other content to the Services (“User Content”). You retain ownership of your User Content.

You grant Ask Alix a worldwide, non-exclusive, royalty-free license to use, store, reproduce, process, and display User Content solely to operate, maintain, and improve the Services, comply with legal obligations, and develop aggregated or de-identified analytics.

You represent that your User Content does not infringe any third-party rights and is accurate to the best of your knowledge.

Section 11

Intellectual Property

Ask Alix and its licensors own all right, title, and interest in the Services, including software, designs, trademarks, logos, and all content we provide (excluding User Content). “Ask Alix,” “Alix,” “Alix Intelligence,” and related marks are trademarks of Ask Alix Inc.

We grant you a limited, revocable, non-transferable, non-exclusive license to access and use the Services for personal, non-commercial purposes, subject to these Terms. All other rights are reserved.

Section 12

Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant Ask Alix an unrestricted, perpetual, royalty-free license to use that feedback without obligation to you.

Section 13

Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, share, retain, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy. If required by law, additional financial privacy, data-security, biometric, voice, video, account-aggregation, or electronic-communications disclosures may apply.

Section 14

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASK ALIX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, ASK ALIX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR RELIABLE, OR THAT ANY AI OUTPUT, ACCOUNT INSIGHT, STRATEGY, PROJECTION, PROMPT, CONNECTED-ACCOUNT DATA, THIRD-PARTY DATA, OR AUTO-EXECUTION FEATURE WILL BE ACCURATE, COMPLETE, CURRENT, SUITABLE, TIMELY, AVAILABLE, OR ERROR-FREE. ASK ALIX DOES NOT GUARANTEE ANY INVESTMENT RESULT, SAVINGS RESULT, TAX RESULT, CREDIT RESULT, DEBT-REDUCTION RESULT, FINANCIAL OUTCOME, OR AVOIDANCE OF FEES, PENALTIES, OVERDRAFTS, LOSSES, OR OTHER CONSEQUENCES.

Section 15

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASK ALIX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, TRADING LOSSES, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

ASK ALIX’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ASK ALIX IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion of certain damages. In those jurisdictions, our liability is limited to the smallest extent permitted by law. Nothing in these Terms limits any non-waivable rights you may have under applicable electronic fund transfer, consumer protection, privacy, data security, securities, banking, or other laws.

Section 16

Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Before either you or Ask Alix initiates arbitration or a court proceeding, the party asserting a dispute must first send a written notice describing the dispute, the relief requested, and the information reasonably necessary to evaluate the dispute. Notices to Ask Alix must be sent to [INSERT LEGAL NOTICE EMAIL] and [INSERT MAILING ADDRESS]. Notices to you may be sent to the email address, mailing address, or account notification method associated with your account. The parties will have 60 days after receipt of the notice to attempt to resolve the dispute informally.

Except for claims that qualify for small claims court and claims for emergency or preliminary injunctive relief relating to intellectual property, unauthorized access, cybersecurity, confidentiality, or misuse of the Services, any dispute, claim, or controversy arising out of or related to these Terms, the Services, your account, any subscription, any AI Output, any Auto-Execution Feature, any connected-account feature, any transaction authorization, any privacy or data-security issue, or the relationship between you and Ask Alix will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by these Terms.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator will have exclusive authority to resolve all issues relating to the scope, interpretation, applicability, enforceability, and formation of this arbitration agreement, except that a court will decide any issue concerning the validity or enforceability of the class action waiver, representative action waiver, or public injunctive relief waiver.

Arbitration may be conducted by video conference, telephone, documents-only submission, or in person, as permitted by the AAA Consumer Arbitration Rules and determined by the arbitrator. If an in-person hearing is required, it will take place in the county where you reside unless the parties agree otherwise or the arbitrator determines that another location is required by applicable law.

The parties will pay arbitration fees as required by the AAA Consumer Arbitration Rules and applicable law. Ask Alix will pay any arbitration fees it is required to pay under applicable law or AAA rules. If the arbitrator determines that a claim, defense, or requested relief is frivolous or brought for an improper purpose, the arbitrator may award fees and costs to the extent permitted by applicable law and the AAA rules.

You and Ask Alix agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.

If 25 or more substantially similar arbitration demands are filed against Ask Alix by or with the assistance of the same law firm, group of law firms, organization, or coordinated group, the demands may be administered in batches under procedures determined by the arbitration administrator or arbitrator to promote efficient, fair, and orderly resolution, subject to applicable law. The parties agree to cooperate in good faith with the arbitration administrator to implement batching, bellwether, staged, or other procedures designed to avoid duplicative proceedings and disproportionate fees.

If the AAA is unavailable, unwilling, or unable to administer a dispute, or if the AAA declines to administer the dispute, the parties will attempt in good faith to agree on a substitute arbitration administrator. If the parties cannot agree, a court of competent jurisdiction will appoint a substitute arbitration administrator or arbitrator consistent with the Federal Arbitration Act.

If any portion of this Section 16 is found unenforceable, that portion will be severed to the extent permitted by law, and the remaining portions will remain in effect. If the class action waiver, representative action waiver, or public injunctive relief limitation is found unenforceable as to a particular claim or request for relief, that claim or request for relief may proceed in court, but only after all arbitrable claims and requests for relief are resolved, unless applicable law requires otherwise.

You may opt out of this arbitration agreement by sending written notice to [INSERT OPT-OUT EMAIL] within 30 days of first accepting these Terms. The opt-out notice must include your name, account email address, mailing address, and a clear statement that you opt out of arbitration. Opting out of arbitration will not affect any other provision of these Terms.

Section 17

Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles, except that the Federal Arbitration Act governs the arbitration agreement in Section 16. Subject to Section 16, any action not subject to arbitration will be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to personal jurisdiction there, except where applicable consumer protection, electronic fund transfer, privacy, securities, banking, or other law requires a different forum.

Section 18

Indemnification

You agree to indemnify and hold Ask Alix and its affiliates, officers, directors, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your misuse of the Services; (b) your violation of these Terms; (c) your violation of applicable law or the rights of a third party; or (d) any User Content you submit; (e) accounts you connect without authorization; or (f) fraud, misrepresentation, or inaccurate information you provide. This indemnity does not apply to claims caused by Ask Alix’s gross negligence, willful misconduct, or violation of law to the extent prohibited by applicable law.

Section 19

Termination

You may stop using the Services at any time and close your account through account settings or by contacting us. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms, suspected fraud, or regulatory requirement.

Upon termination, your license to use the Services ends. Sections that by their nature should survive termination (including Sections 10 through 18) will survive.

Section 20

Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the Services or by email. If we materially change the arbitration provision, automatic-renewal terms, paid subscription terms, privacy or data-sharing terms, connected-account terms, or Auto-Execution Features, we will provide notice and obtain consent where required by law. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance.

Section 21

Regulatory and Compliance Notices

  • Ask Alix is not a bank. Funds held through partner institutions may be subject to separate agreements and protections. FDIC insurance applies only where explicitly disclosed and administered by partner banks.
  • Ask Alix is not currently a broker-dealer, investment adviser, custodian, clearing firm, or securities exchange. If you connect a brokerage, investment, or retirement account, brokerage, custody, clearing, execution, and settlement services, if any, are handled by the relevant broker-dealer, custodian, clearing firm, or other provider under its separate agreement.
  • Ask Alix does not currently provide investment advisory services. If investment advisory services are made available through the Services in the future, they will be provided only by an affiliate or third-party provider that is properly registered, licensed, exempt, or otherwise authorized to provide those services, and only under separate advisory agreements and disclosures.
  • Ask Alix does not provide legal, tax, accounting, estate-planning, or insurance advice.
  • The Services are intended for U.S. residents. Users outside the U.S. may not have access to all features and are responsible for compliance with local law.

Section 22

Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Ask Alix.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full effect.
  • No Waiver. Our failure to enforce a right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our written consent. We may assign these Terms freely.
  • Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Electronic Communications. By creating an account or using the Services, you consent to receive electronically all agreements, disclosures, notices, authorizations, transaction information, subscription notices, privacy notices, regulatory notices, and other communications related to the Services. Electronic communications may be provided by email, in-app message, account dashboard, website posting, push notification, text message, or other electronic means. You agree that electronic communications satisfy any legal requirement that such communications be in writing. To access and retain electronic communications, you must have internet access, a device capable of accessing the Services, a current web browser or mobile application, software capable of viewing PDF files, and a valid email address. You are responsible for keeping your contact information current. You may withdraw consent to electronic communications by contacting us [email protected]. Withdrawal may limit or terminate your ability to use the Services because the Services are provided electronically. Withdrawal does not affect the validity or enforceability of electronic communications provided before withdrawal.
